Singer Capital Markets is delighted to have acted as Rule 3 Adviser, Financial Adviser and Corporate Broker to Hipgnosis Songs Fund on its Recommended Cash Offer by Blackstone to acquire the entire issued and to be issued ordinary share capital of the Company.
Under the terms of the Acquisition, each Hipgnosis Songs Fund Shareholder will receive $1.31 per Hipgnosis Share, valuing the fund at approximately US$1.6 billion. The Acquisition represents a premium of 55% to the one-month VWAP on 17 April 2024 (being the last day before the commencement of the Offer Period) and 99.97% of Hipgnosis Songs Fund shareholders voted in favour of the Acquisition
Supporting Hipgnosis from IPO to Acquisition
Singer Capital Markets acted as Financial Adviser and Sole Broker to Hipgnosis Songs Fund on its IPO to the Specialist Fund Segment of the Main Market raising £200 million on admission in July 2018.
Since IPO, Singer Capital Markets supported Hipgnosis in 7 follow on capital raises, raising a total c.£1.3 billion with £420 million raised in just 2 months during the COVID-19 pandemic. Hipgnosis then announced in August 2020 that the Company had entered the FTSE 250 Index with a market capitalisation of over £1 billion.
